Welcome to the Terms of Service ("Terms") for the website, somya.ai, its subdomains, and APIs (collectively, the "Website"), operated by Somya Labs Private Limited ("Somya", "we" or "us"), headquartered in Bangalore, India.

The Website and the suite of tools, features, and functionality offered—including our generative artificial intelligence models for Automatic Speech Recognition (ASR), Text-to-Speech (TTS), and custom voice adapters—are collectively referred to as the "Services."

1. Acknowledgment of AI Nature

Our Services utilize evolving artificial intelligence ("AI") to generate audio and text Outputs. You acknowledge that AI is a developing field. We do not guarantee the accuracy, suitability, or bias-free nature of the resulting content. You are solely responsible for your use of the Services, including the prompts you provide (Inputs) and the resulting content (Outputs). All use is at your own risk.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use these Services. By accessing Somya Labs, you represent that you have the legal capacity to form a binding contract under the laws of India or your place of residence.

3. User Accounts and Security

Creation: To access certain features, you must create an account via email or third-party OAuth (e.g., Google or GitHub).

Responsibility: You are responsible for all activity under your account. You must notify us immediately at security@somya.ai if you suspect unauthorized access.

Accuracy: You agree to provide current and truthful information. We reserve the right to suspend accounts with misleading data.

4. Subscriptions and Payments

Fees: Paid tiers are billed in U.S. Dollars (USD) or Indian Rupees (INR) as specified. Applicable taxes, including GST (for Indian users), will be calculated based on your billing address.

Processors: We use third-party providers like Stripe or Razorpay. By subscribing, you agree to their respective terms.

Renewals: Subscriptions auto-renew at the end of each period (monthly/annually) unless cancelled via your dashboard or by emailing support@somya.ai.

Refunds: All payments are non-refundable unless required by applicable law.

5. Intellectual Property and Content Rights

Somya's Property: We own the Website, the "look and feel," the underlying AI models (ASR/TTS engines), and the proprietary algorithms.

Your Inputs: You retain ownership of the audio or text you upload. You grant Somya a limited, worldwide license to host, store, and process this content solely to provide and improve the Services.

Your Outputs: To the fullest extent permitted by law, you own the Outputs you generate. However, due to the nature of AI, you acknowledge that similar Outputs may be generated for other users.

Model Training: Unless you are on an Enterprise plan or have explicitly opted out via our settings, you grant Somya the right to use Inputs and Outputs to refine and train our machine learning models.

6. Prohibited Use and Acceptable Conduct

You agree not to use the Services to:

Generate audio of a person's voice without their express, written permission.

Create deepfakes intended to mislead, defame, or harass individuals.

Reverse-engineer the Somya engine or scrape data to build competing models.

Upload content that is illegal, incites violence, or violates the Digital Personal Data Protection Act (DPDP) of India.

7. Disclaimers and Limitation of Liability

The Services are provided "AS IS." To the maximum extent permitted by Indian law, Somya Labs shall not be liable for any indirect, incidental, or consequential damages (including loss of data or profits) arising from your use of the AI models. Our total liability shall not exceed the amount paid by you to Somya in the six months preceding the claim.

8. Governing Law and Dispute Resolution

Jurisdiction: These Terms are governed by the laws of India.

Arbitration: Any dispute arising out of these Terms shall be settled by binding arbitration in Bangalore, India, in accordance with the Arbitration and Conciliation Act, 1996.

Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in a class-action lawsuit.

9. Termination

We may suspend or terminate your access at any time if you breach these Terms. Upon termination, your license to use the Services ceases immediately.
